NOTICE OF COMPETITIVE OFFERING OF SHARES

Of the State Capital Investment Corporation (SCIC) at Vietnam Dairy Products Joint Stock Company (Vinamilk)

1. Share’s name: Vietnam Dairy Products Joint Stock Company’s share (Trading code: VNM)

2. Number of offered shares: 48,333,400 shares (equivalent to 3.33% of VNM’s chartered capital) (in words: Forty-eight million three hundred and thirty-three thousand four hundred shares)

3. Type of share: Common share

4. Par value: 10,000 VND/share

5. Minimum selling price/ initial price: 150,000 VND/share. The bidding price should not be lower than the initial price and the floor price of VNM on 10 Nov 2017 as announced by HOSE.

6. Minimum quantity of shares each investor can register to buy: 20,000 shares (in word: twenty thousand shares)

7. Maximum quantity of shares each investor can register to buy: 48,333,400 shares (equivalent to 3.33% of VNM’s chartered capital); in words: Forty-eight million three hundred and thirty-three thousand four hundred shares

8. Step-up quantity: 10 shares (in word: ten shares)

9. Step-up price: 100 VND (one hundred Vietnamese dong)

10. Number of bidding price: Investors are allowed to submit only 01 (one) bidding price in the application for the competitive offering. The total quantity of shares at the bidding price must be equal to the total quantity of shares registered by the investors.

The bidding price must be the multiple of 100 VND (one hundred Vietnamese dong).

11. Tentative offering price: Not less than the minimum selling price / initial price and the floor price at the day of transaction.

12. Deposit amount: Equivalent to 10% of the registered quantity of shares at minimum selling price initial price.

13. Share transfer method: SCIC will transfer share for winning investors by the relevant method for transfer through VSD in accordance with VSD’s applicable rules (pursuant to Document 7089/UBCK-QLCB dated 23/10/2017 of SSC - attached).
