We are pleased to announce that Hoang Anh Gia Lai JSC has received the Certificate of Public Share Issuance No. 61/GCN-UBCK approved by Chairman of State Securities Commission on  05 November 2013.

Hoang Anh Gia Lai JSC (“The Company”, “HAGL”) plans to offer 32,957,385 shares of An Phu Real Estate Investment JSC (“An Phu shares”) equivalent of 91.62% of An Phu shares that the Company is holding to existing shareholders of HAGL. The details are as follows:

-       Name of shares for sale        : Shares of  An Phu Real Estate Investment JSC

-       Type of shares                          :  Ordinary

-       Par value                                     : 10,000 VND per share

-       Number of shares for sale   : 32,957,385 shares

-       Selling price                                : 10,000 VND per share

-       Exercise ratio                             : 10,000:458 (1 share equals 1 right to buy, 10,000 rights can buy 458 An Phu Shares)

-       Rounding method, odd lot share and unsubscribed share processing:

+        Rounding method: On the closing date of shareholder list, the shareholder who owns 10,000 shares will have 10,000 rights, which will enable him to be 458 An Phu Shares on the rounding to the unit rule to ensure the number of shares for distribution does not exceed the total number of shares for sale.

+        To the odd lot share left and unsubscribed, the Shareholders authorized the Board of Mananagement to select the seller and selling price on the condition that the selling price is 10,000 VND/share.

Example: Shareholder A (on the day the list of shareholders is closed) owns 10,005 HAG shares, equivalent of 10,005 rights, the number of An Phu Shares that the Shareholder is entitled to buy is 10,005 x 4.58% = 458.23, rounded to 458
