II. Purpose of the offering

• Invest in projects owned by Investment And Industrial Development Joint Stock Corporation.

• Contribute capital to establish new or increase the charter capital of subsidiary units.

• Financial restructuring of Investment And Industrial Development Joint Stock Corporation.

III. Plan of the offering

1. Name of shares: Shares of Investment And Industrial Development Joint Stock Corporation

2. Type of shares: Common shares

3. Number of shares to be issued: 300,000,000 shares, to which:

• Shares offered by the Issuer : 300,000,000 shares;

• Shares offered by shareholders: 0 share.

4. Offering price: Subject to the auction results

• According to the plan of offering in the prospectus: The offering price depends on the auction results. The actual starting bid price will be determined by the Board of Directors of the Investment And Industrial Development Joint Stock Corporation and announced before the Notice on Public Share Offering is published. The starting price will be determined based on the following principles: (i) Not lower than the book value in the combined financial statements of the Investment And Industrial Development Joint Stock Corporation in the latest period, and; (ii) Not lower than the average closing price of the last 30 trading sessions of BCM shares prior to the date of publication of the Notice on Public Share Offering, and; (iii) Not lower than VND 50,000 per share.

• Based on the above-mentioned principles for determining the starting bid price, the Board of Directors has issued Resolution No. 08/NQ-HĐQT dated February 5, 2025, deciding the starting bid price for the auction of BCM shares is VND 69,600 per share

5.1. The total mobilize capital according to the Prospectus is VND 15,000,000,000,000, assuming the successful sale of 300,000,000 shares at a minimum price of 50,000 VND per share, of which:

5.2. The total mobilize capital according the starting bid price approved by the Board of Directors of the Investment And Industrial Development Joint Stock Corporation, as per Resolution No. 08/NQ-HĐQT dated February 5, 2025 (VND 69,600 per share), is VND 20,880,000,000,000, of which

• Total mobilize capital by the shareholders: VND 0.

6. Distribution method: Through a public auction at the Hochiminh Stock Exchange

7. Minimum of shares purchase to be registered: A minimum of 100 shares, and the registration must be in multiples of 100 shares.

8. Time of receiving purchase request: Issuer will announce the registration period after completing the registration procedures with the Hochiminh Stock Exchange.
